Pursuant to Regulation 30 read with Para A of Part A of Schedule III of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended (SEBI Listing Regulations), Simandhar Impex has informed that, the Board of Directors of the Company at its meeting held on June 30, 2026, has approved the resignation of Gaurav Baid as Chief Financial Officer and Key Managerial Personnel of the Company with effect from the conclusion of the Board Meeting held on June 30, 2026. The Board has also approved the appointment of new Chief Financial Officer and Key Managerial Personnel with effect from the conclusion of the Board Meeting held on June 30, 2026, to ensure continuity in the governance, management, and operations of the Company. Separate disclosures in respect of such appointments are being submitted in accordance with the applicable provisions of the SEBI Listing Regulations. The details as required under Regulation 30 of the SEBI Listing Regulations read with SEBI Circular No. SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated July 13, 2023, are enclosed herewith as Annexure - I.
