Further to letter dated 29th May,2026, seeking approval of the Members through Postal Ballot by means of remote e-voting process on the resolutions set out in the Postal Ballot Notice dated 28th May, 2026, Simplex Castings has enclosed the following: (i) Voting results pursuant to Regulation 44(3) of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, enclosed as Annexure A, and (ii) Scrutinizer’s Report dated 3rd July, 2026, in accordance with the provisions of Section 110 of the Companies Act, 2013, read with Rule 22 of the Companies (Management and Administration) Rules, 2014, enclosed as Annexure B. The resolutions set out in the Postal Ballot Notice have been duly approved by the Members with the requisite majority and are deemed to have been passed on 2nd July, 2026, being the last date for receipt of votes through postal ballot e-voting.
