Pursuant to the provisions of Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 as amended (‘Listing Regulations’), Jamna Auto Industries has informed that the Board of Directors of the Company, at its meeting held today, has approved the acquisition of the entire issued share capital of Owen Springs, a company incorporated in England and Wales, from its existing shareholder, OSL Group Holdings, subject to completion of the conditions precedent and other completion formalities as stipulated under the Share Purchase Agreement and applicable laws. The details as required under Regulation 30 of the SEBI Listing Regulations read with the SEBI master Circular No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026 is annexed as Annexure A.
