With reference to its letter No. PGIL/SE/2026-27/43 dated August 05, 2026, regarding the Outcome of the Board Meeting held on August 05, 2026, submitted pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. Pearl Global Industries has informed that there was some inadvertent omission/ clerical error observed in Point No. 2 and 6 of the outcomes and the same may be read as below: Point No. 2 of the Outcome may be read as follows: 2. Approved the Appointment of Major General Sandeep Vohra (Retd.) (DIN: 11824360) as an Additional Director in the capacity of Whole -Time Director of the Company, for a period of three consecutive years effective from August 05, 2026, as recommended by the Nomination and remuneration Committee. In accordance with the circular dated June 20, 2018, issued by the Stock Exchanges, it has confirmed that Major General Sandeep Vohra (Retd.) is not debarred from holding the office of Director by virtue of any order passed by SEBI or any other such authority. The details pertaining to the appointment of Major General Sandeep Vohra (Retd.) as required under Regulation 30 read with Schedule III of SEBI Listing Regulations, 2015 and SEBI Master Circular No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026, is attached as Annexure-B. Point No. 6 of the outcome may be read as follows: 6. Approved the draft Notice of Postal Ballot for seeking the approval of the members of the Company for the appointment of Major General Sandeep Vohra (Retd.) as the Whole-Time Director and Issuance of bonus equity shares. Save and except the above correction, all other information and contents of the outcome of the Board Meeting dated August 05, 2026, remain unchanged.
