Pursuant to Regulation 30 read with Part A of Schedule III of the SEBI Listing Regulations along with the relevant SEBI Circulars, Walchandnagar Industries has informed that the Shareholders of the Company at the 117th Annual General Meeting held yesterday, i.e. August 11, 2026, have approved the alteration of the Registered Office clause of the Memorandum of Association of the Company. The Registered Office of the Company was earlier situated in Mumbai and was shifted to Pune vide Special Resolution passed on March 08, 2026. The Memorandum of Association of the Company mentions that the Registered Office of the Company will be situated in the ‘Province of Bombay’. In view of the aforesaid change of the Registered Office from Mumbai to Pune and to align the Memorandum of Association with the current legal and constitutional position, the existing Clause II has been revised mentioning the State of Maharashtra. Consequent to the above alteration, the Clause II of the Memorandum of Association of the Company is substituted with the following clause: II. ‘The Registered Office of the Company will be situated in the State of Maharashtra.’ A copy of this intimation is also being made available on the website of the Company at www.walchand.com
