In furtherance to letter dated January 30, 2025, The Phoenix Mills has informed that National Company Law Tribunal, Chennai Bench (‘NCLT’), has approved the Scheme of Merger and Amalgamation between Coimbatore Sameera Investments Private Limited, Dhanalakshmi Engineering Private Limited, Pulankinar Investment and Finance Private Limited, Shanthi Chandran Enterprisers Private Limited, Shanthi Chandran Investments Coimbatore Private Limited and Sheela Traders Private Limited (‘ collectively referred as Transferor Companies’), step down subsidiaries of the Company with Astrea Real Estate Developers Private Limited (‘Transferee Company’), subsidiary of the Company under the provisions of Sections 230 to 232 and other applicable provisions of the Companies Act, 2013 read with the Rules framed thereunder.
