Pursuant to the Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulation, 2015 read with Schedule III, Kamdhenu Ventures has informed that the Board of Directors of the company vide its Resolution passed through Circulation on today i.e. 27th April, 2023, have approved the redemption of 4,001,582 9% Non-Cumulative Compulsorily Redeemable Preference Shares (NCRPS) of Rs 10 each, at par. The aforesaid 4,001,582 NCRPS of Rs 10 each, were issued and allotted on 20th July, 2022 by the Board of Directors, pursuant to clause 2.7.6 of the Scheme of Arrangement as approved by the Hon’ble NCLT, Chandigarh Bench on 3rd June, 2022. Further, pursuant to the SEBI Circular CIR/CFD/CMD/4/2015 dated September 9, 2015, disclosure is hereby made that the Board of Directors has approved the redemption of the aforesaid NCRPS, out of the proceeds of the preferential issue made to the Qualified Institutional Buyers, as available with the Company and in compliance to the object of the said preferential issue.
