Aqylon Nexus has informed that pursuant to the provisions of the Securities and Exchange Board of India (Listing Obligations & Disclosure Requirements), Regulations, 2015, the Meeting of the Board of Directors of the Company is scheduled to be held on Thursday, 9th July 2026, to consider and approve the following agenda items: To consider and approve the proposed acquisition of a 51% equity stake in E Trav Tech (Target Company) through a share swap arrangement by way of a preferential issue of equity shares of the Company, subject to obtaining all requisite statutory, regulatory, contractual, and other approvals, consents, permissions, and compliances as may be required under the applicable laws; Proposal for raising of funds by issuance of equity shares / convertible bonds / debentures / convertible warrants / preference shares or any other equity linked securities (Securities) through permissible modes including by way of a private placement, including through a preferential issue or qualified institutions placement of Securities or any other method or mode as may be permitted under applicable laws, including the Companies Act, 2013 read with the rules notified thereunder and the Securities and Exchange Board of India (issue of Capital and Disclosure Requirements) Regulations, 2018; To propose alteration, addition, replacement, or deletion of the main object clause of the Company; and To consider any other business with the permission of the Chairperson.
