Pursuant to Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (SEBI Listing Regulations), and in continuation of the Company’s earlier disclosures dated August 5, 2026 and August 11, 2026, regarding setting up of a Denim Garment facility at an estimated project cost of approximately ?186.30 crore through a joint venture with NDS9 Private Limited (NDS9), and execution of Joint Venture Agreement with NDS9 in relation to the aforesaid project respectively, RSWM has informed that the Joint Venture company in the name and style of LNJ NDS9 Global Private Limited has been incorporated and the Certificate of Incorporation received today. The shareholding in the joint venture company is in the ratio of 74% by the Company and remaining 26% by NDS9. Presently authorised share capital of the joint venture company is ?1 crore, comprising 10,00,000 equity shares of face value of ?10 each. The requisite disclosures in respect of the aforesaid joint venture company i.e. LNJ NDS9 Global Private Limited as required under the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 have already been provided by the Company vide its earlier disclosure dated August 5, 2026.
