Pursuant to the provisions of Regulation 30 of the SEBI (Listing Obligations & Disclosure Requirements) Regulations, 2015 (‘SEBI Listing Regulations’), Marico has informed that the Board of Directors (‘Board’) of the Company has vide resolution passed today, noted, taken on record and approved the following matters: 1. Milind Barve (DIN: 00087839), Independent Director, has informed the Company vide letter dated July 1, 2026 that due to persistent health issues and need to focus on his recovery, he will not be seeking re-appointment upon completion of his current term as an Independent Director. Accordingly, Barve shall retire as an Independent Director of the Company with effect from the end of day on August 1, 2026. Consequently, Barve shall cease to be the Lead Independent Director, Chairman of the Audit Committee, Risk Management Committee and Stakeholders Relationship Committee, and a Member of Corporate Social Responsibility Committee, with effect from the end of day on August 1, 2026. The Board and Management place on record their deep appreciation for the contributions made by Milind Barve during his association with the Company over the years. Pursuant to Regulation 30 read with Clause 12 of Para A of Part A of Schedule III of the SEBI Listing Regulations, 2015 and the SEBI Master Circular, Britannia Industries has informed that it enclosed the Notice of Postal Ballot dated 30th June, 2026 (‘Notice’) seeking approval of the Members by way of an Ordinary Resolution for Re-appointment of N. Venkataraman (DIN: 05220857) as the Whole-Time Director designated as Executive Director and Chief Financial Officer of the Company, liable to retire by rotation, for a term of 4 (four) years with effect from 30th July, 2026 upto 29th July, 2030. The Company has engaged National Securities Depository (‘NSDL’) for providing the remote E-voting facility from Wednesday, 1st July, 2026 at 9:00 AM IST till Thursday, 30th July, 2026 at 5:00 PM IST. In compliance with the MCA Circulars, the Notice is being sent only by Email to those Members whose names appear in the Register of Members/Register of Beneficial Owners and whose Email Ids are registered with the Company/Depository Participants as on the Cut-off date i.e., Friday, 26th June, 2026. The Members who have not registered their Email Ids are requested to kindly register the same as per the instructions given in the Notice.
