Sri Adhikari Brothers Television Network informs about outcome of postal ballot

In continuation to letter dated 01st December, 2025, for issue of Postal Ballot notice and pursuant to Regulation 44(3) of Listing Regulations and Section 110 and 108 of the Companies Act, 2013 read with Rule 22 of the Companies (Management and Administration) Rules, 2014, Sri Adhikari Brothers Television Network has informed that the below-mentioned resolution has been duly passed by the members of the Company through Postal Ballot with the requisite majority: Amendment to Object Clause III (A) of the Memorandum of Association of the Company; To approve change of name of the Company and consequent alteration in the Memorandum of Association and Articles of Association of the Company; and appointment of Statutory Auditor to fill casual vacancy on resignation of Statutory Auditor. The remote e-voting period was started on Wednesday, 03rd December 2025 at 9:00 AM (IST) to Thursday, 01st January 2026 at 5:00 PM (IST) and the Scrutinizer has submitted its report on 02ndJanuary, 2026. Based on the report given by Scrutinizer, they are enclosing the details of e-voting results on the said Resolutions, as per the format specified under Regulation 44(3) of Listing Regulations. The said Resolutions as mentioned in the Postal Ballot Notice dated 24th November, 2025, has been passed, with the requisite majority, on 01st January, 2026 (being the last date of e-voting). In this connection, it has enclosed the following: a) E-Voting Results in the format prescribed under Regulation 44 of SEBI (Listing Obligations and Disclosure Requirements), Regulations (Annexure - 1) and b) Scrutinizer Report dated 02nd January, 2026 (Annexure - 2). The above Outcome of the Postal Ballot shall also be made available on the Company's website at www.adhikaribrothers.com.

Rishab Special Yarns informs about closure of trading window

Pursuant to the SEBI (Prohibition of Insider Trading) Regulations, 2015, and in accordance with the Company’s Code of Conduct for the Prevention of Insider Trading and Code of Fair Disclosure, Rishab Special Yarns has informed that the Trading Window for dealing in the Company’s securities will remain closed for all Designated Persons, Connected Persons, Directors, Promoters and their Immediate Relatives from Thursday, January 1, 2026, till 48 hours after the declaration of un-audited Financial Results for the quarter and nine months ended December 31, 2025, arc approved by the Board of Directors and disclosed on the Stock Exchanges' websites (both days inclusive). Further, as per SEBI circular no. SEBI/HO/ISD/ISD-PoD-2/P/CIR/2023/124 dated July 19, 2023, the PANs of the Company’s Designated Persons will be frozen by CDSL (Designated Depository) for trading in the Company’s securities during the trading window closure period. The date of Board Meeting of the Company for consideration and approval of the un-Audited Financial Results for the quarter and nine months ended December 31, 2025 will be intimated separately in due course of time. Accordingly, all Designated Persons, Connected Persons, Directors, Promoters and their Immediate Relatives are advised not to trade in the securities of the Company during the aforesaid period of trading window closure.

Small cap is used to refer to companies that have a relatively smaller market capitalisation. A company’s market capitalisation is the market value of its outstanding shares. The criterion for classifying small cap companies can vary among brokerages, but it is generally a company with a market capitalisation less than Rs. 5, 000 crore but more than Rs. 500 crore.   • Growth Potential: In comparison to larger companies, small cap firms have a higher potential for growth. This makes them an attractive option for investors with high risk appetite.
  • Taking advantage of inefficiencies in the market: Analysts/institutional investors pay little attention to small cap companies, owing to the very low liquidity. Thus there is a high probability of mispricing in these stocks. This allows retail investors to use the inefficiencies of market pricing and earn a greater return on their investment.

It does, however, warrant extra caution (like a higher margin of safety) due to the higher risk you take by investing in small cap companies.

  • Unsteady Business model: Small cap companies are relatively newer entrant in the industry which means the business is unsteady and relies on a lot of external factors. Eg. An economic downturn for a company with high debt can pave the way for bankruptcy
  • Access to new capital: The above factors also mean difficult access to capital, leading to higher interest payments.
  • Low Liquidity: Small cap stocks are less liquid than their larger counterparts. This means negligible institutional presence, less research, etc.

That said, small-cap stocks in India can also give you lucrative returns. So, if you do decide to invest in the stocks of small-cap companies, make sure to do your due research about the company before making your investment. You should also diversify your investments to reduce risk.
